SOFTWARE LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ VERY CAREFULLY. 

Below is the standard End-User License Agreement (EULA) that governs the use of all software products created by TriangCircularMedia (triangcircularmedia.co.uk). By downloading, installing, copying, or using any software from TriangCircularMedia, you agree to be bound by these terms. We take our intellectual property rights EXTREMELY seriously. 

These terms are in place to protect the hard work and innovation that goes into every one of our products.

Software : Any and all software products, plugins, mobile applications, desktop tools, and digital assets created by TriangCircularMedia.

1. AGREEMENT:

This End-User License Agreement ("EULA") is a binding legal agreement between you (either an individual or a single legal entity) and com.triangcircularmedia (operating via triangcircularmedia.co.uk) for the software product identified above, which includes computer software, mobile applications, plugins, and may include associated media, printed materials, and "online" or electronic documentation (collectively referred to as the "SOFTWARE PRODUCT").

2. GRANT OF LICENSE:

com.triangcircularmedia (triangcircularmedia.co.uk) grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to download, install, and use the SOFTWARE PRODUCT solely for your personal or internal business purposes, strictly in accordance with the terms of this Agreement. 

This license may be granted as either a one-time perpetual purchase or a recurring subscription-based model, depending on the plan selected at the time of purchase.

• Device Limit: Unless you have purchased a specific volume license, this license permits the use of the SOFTWARE PRODUCT on devices owned or controlled by the single licensed user.

• License Verification: The SOFTWARE PRODUCT employs the authorized platform's licensing verification system (e.g., Authorized Platform's Licensing Marketplace Licensing API). You acknowledge that the software will validate your license status against these official servers (e.g., Authorized Platform's Licensing Marketplace Licensing API).

• Verification Rights: com.triangcircularmedia (triangcircularmedia.co.uk) reserves the right to cross-reference active installations with official sales records and request immediate deactivation of keys found to be associated with unauthorized resellers or leaked distributions.

3. PROPRIETARY RIGHTS & INTELLECTUAL PROPERTY:

The SOFTWARE PRODUCT is licensed, not sold. You acknowledge that com.triangcircularmedia (triangcircularmedia.co.uk) retains all title, copyright, intellectual property rights, source code, and distribution rights to the SOFTWARE PRODUCT. This software is protected by copyright laws of the United Kingdom, international copyright treaties, and other intellectual property laws.

4. RESTRICTIONS (The "Honest Code" Clause):

You agree strictly to the following restrictions. You may not:

• Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

• Modification: Modify, translate, adapt, share, or create derivative works based on the SOFTWARE PRODUCT or any part thereof.

• Resale & Redistribution: Rent, lease, lend, sell, redistribute, share or sublicense the SOFTWARE PRODUCT.

• Grey Market Trading: Purchase, sell, or distribute license keys or binaries via unauthorized third-party marketplaces (e.g., eBay, key reseller sites, shared license pools & grey/gray markets & or their derivative's). Licenses found to be sourced from these vendors will be deactivated immediately without refund and or prejudice.

• Bypassing Security: Attempt to bypass, modify, defeat, or otherwise circumvent any digital rights management or license enforcement mechanisms contained in the software.

5. NO WARRANTIES:

The SOFTWARE PRODUCT is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. com.triangcircularmedia (triangcircularmedia.co.uk) does not warrant that the functions contained in the software will meet your requirements or that the operation of the software will be uninterrupted or error-free.

6. REFUNDS, DISPUTES, AND CHARGEBACKS:

Because the SOFTWARE PRODUCT is a digital good that cannot be physically returned once downloaded, all sales are considered final and non-refundable, except where required by statutory UK consumer law or the specific refund policies of the authorized platform (e.g., JetBrains Marketplace, Apple App Store, Google Play Store).

Chargeback Fraud Policy: You agree to contact com.triangcircularmedia (triangcircularmedia.co.uk) support to resolve any issues before initiating a dispute or chargeback with your payment provider.

• Immediate Termination: Initiating a chargeback without prior good-faith communication, or for reasons we deem fraudulent (e.g., "friendly fraud" or "item not received" when download logs exist), will result in the immediate termination of this license and deactivation of your product/license key.

• Evidence: We reserve the right to dispute any chargeback and will provide this signed EULA, along with access logs, as evidence to your bank that you knowingly purchased and accessed digital goods.

• Blacklisting: Users who initiate fraudulent chargebacks will be permanently blacklisted from purchasing future products or updates from TriangCircularMedia, com.triangcircularmedia (triangcircularmedia.co.uk).

• Recovery Costs: You agree to reimburse com.triangcircularmedia (triangcircularmedia.co.uk) for any fees, costs, or expenses (including legal fees) incurred in connection with the recovery of fees due to a fraudulent chargeback.

7. LIMITATION OF LIABILITY:

In no event shall the authors, copyright holders, or com.triangcircularmedia (triangcircularmedia.co.uk) be liable for any claim, damages, or other liability, whether in an action of contract, tort or otherwise, arising from, out of, or in connection with the software or the use or other dealings in the software. Total liability under this agreement shall be limited to the amount actually paid by you for the software product.

8. INDEMNIFICATION:

You agree to indemnify, defend, and hold harmless com.triangcircularmedia (triangcircularmedia.co.uk) and its officers, directors, and employees from and against any and all losses, damages, liabilities, and costs (including reasonable legal fees) resulting from any breach of this Agreement by you or any activity related to your account.

9. TERMINATION:

Without prejudice to any other rights, com.triangcircularmedia (triangcircularmedia.co.uk) may terminate this EULA if you fail to comply with the terms and conditions of this Agreement. In such an event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts. Upon termination, all rights granted to you will immediately cease.

10. EQUITABLE RELIEF:

You recognize that a breach of this Agreement (specifically Sections 3 and 4) would cause irreparable injury to com.triangcircularmedia (triangcircularmedia.co.uk) for which monetary damages would not be an adequate remedy. In the event of such a breach, com.triangcircularmedia (triangcircularmedia.co.uk) shall be entitled to seek equitable relief (including injunctions) in addition to any other remedies available at law.

11. GOVERNING LAW & SEVERABILITY:

• Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the UK.

• Severability: If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12.EULA Updateability & Legal Updates: 

• We com.triangcircularmedia (triangcircularmedia.co.uk) Reserve the rights to update this custom EULA at any time.

13. SUBSCRIPTION TERMS:

If you have purchased the SOFTWARE PRODUCT on a subscription basis, the following additional terms apply:

• Subscription Period: The license is valid only for the duration of the subscription period (e.g., monthly or annually) for which the required fee has been paid.

• Automatic Renewal: To ensure uninterrupted service, subscriptions are set to renew automatically using the payment method on file with the authorized platform (e.g., JetBrains Marketplace). You acknowledge that the platform will charge the then-current renewal fee unless you cancel the subscription before the renewal date.

• Cancellation and Access: You may cancel your subscription at any time through the authorized platform's account settings. Upon cancellation, you will continue to have access to the SOFTWARE PRODUCT until the end of your current billing cycle.

• Termination of Access: Once a subscription expires or is canceled (and any applicable "perpetual fallback" grace period provided by the platform has concluded), your right to use the SOFTWARE PRODUCT and receive updates will cease immediately. You must then cease all use of the software or renew your subscription to regain access.
